1. Acceptance of Terms
By accessing or using our website, services, content, platforms, or digital tools (“Services”), you agree to be bound by these Terms of Service (“Terms”), including any additional policies referenced herein such as our Privacy Policy and Refund Policy.
If you do not agree with these Terms, do not use the Services.
2. Definitions
“Company” refers to Mikenetic Group of Companies (Pty) Ltd.
“Client”, “User”, “You” refers to any person or entity accessing, using, or purchasing from Mikenetic.
“Deliverables” include digital products, content, strategies, templates, software, and marketing systems.
“Third-Party Services” refer to platforms integrated with or used by Mikenetic (e.g. MailerLite, GoHighLevel, PayFast).
3. Scope of Services
Mikenetic provides strategic consulting, marketing systems, automation tools, digital products, and educational content. Deliverables may include but are not limited to:

• Custom strategy documents

• CRM automation and funnel builds

• Online courses and eBooks

• Templates, scripts, SOPs, and proprietary business tools

• Software integrations and client systems

Mikenetic reserves the right to alter, upgrade, suspend, or discontinue any part of the Services without notice.
4. Ownership & Intellectual Property
All content, materials, and intellectual property (IP) provided or created by Mikenetic are the exclusive property of Mikenetic Group of Companies unless otherwise stated in writing.
This includes but is not limited to:

• Business frameworks, tools, templates, and digital assets

• Course content, SOPs, email sequences, and brand systems

• Software configurations, scripts, and automation structures

• Branding assets, layouts, and sales copy

You may not copy, reproduce, resell, share, license, or distribute our IP without prior written permission. Unauthorised use will result in legal action, including claims for damages and injunctive relief.
5. Client Responsibilities
You agree to:

• Provide accurate and complete information during onboarding and project intake

• Make timely payments as agreed in invoices or proposals

• Adhere to scheduled feedback/review timelines

• Refrain from illegal use, reverse engineering, or reselling our work or access

Failure to cooperate, communicate, or provide necessary inputs may delay the project. Mikenetic is not liable for project overruns or missed goals due to client inaction.
6. Payment Terms

• All prices are in ZAR unless otherwise stated.

• Payment plans must be adhered to as agreed. Late or missed payments may result in suspension of services or termination of the agreement.

• Digital products and services are non-refundable unless explicitly stated in writing.

• Mikenetic reserves the right to withhold access or revoke licenses if payments are not made in full.

7. Confidentiality & Non-Disclosure
You agree not to disclose, share, or publish any confidential information, trade secrets, internal strategies, or intellectual property of Mikenetic, including systems, tools, client lists, workflows, and proprietary documents.
This clause remains enforceable indefinitely, even after termination of services.
8. Non-Compete & Non-Solicitation
Clients, subcontractors, or employees may not replicate or offer similar strategic frameworks, automation systems, or marketing structures learned through Mikenetic to third parties for personal gain or in competition with Mikenetic.
You may not solicit or attempt to hire any Mikenetic employees, freelancers, or clients for 12 months following termination of service.
Violation of this clause will result in legal action, including pursuit of financial damages.
9. Limitation of Liability
Mikenetic shall not be liable for:

• Any indirect, incidental, or consequential damages

• Loss of revenue, business opportunities, or profits

• Interruptions caused by third-party tools, delays, or software failures

• Results that depend on client implementation, cooperation, and market behavior

In no case shall Mikenetic’s total liability exceed the amount paid by the client within the last 90 days.
10. Termination
We reserve the right to terminate or suspend access to any service without notice if:

• You breach any part of these Terms

• Payments are missed, reversed, or disputed

• Abuse, harassment, or misconduct is observed

All IP, systems, and licenses remain the property of Mikenetic upon termination. No refunds will be issued once deliverables or access have been granted.
11. Jurisdiction & Dispute Resolution
These Terms shall be governed by the laws of the Republic of South Africa.
In the event of a dispute:

• Both parties agree to first attempt mediation

• If unresolved, the matter shall be referred to arbitration in Johannesburg, under South African law

• Legal costs shall be borne by the losing party

12. Force Majeure
Mikenetic shall not be held liable for failure to deliver services or obligations due to circumstances beyond our control, including but not limited to: natural disasters, internet outages, strikes, civil unrest, or pandemics.
13. Modifications to Terms
Mikenetic may update these Terms at any time. Updated versions will be posted publicly. Continued use of our services constitutes your acceptance of the updated Terms.
